Hong Kong: what can be established about a company

Hong Kong's Companies Registry discloses more than most: the free Cyber Search shows name, number, status and incorporation date, and for a small per-item fee (HK$22 for company particulars, similar for each document image) one can obtain directors, company secretary, registered office, share capital and the annual return listing shareholders. Private company accounts are not filed and not public. The Significant Controllers Register is kept at each company's own office and is open only to law enforcement and specified persons, not the public.

Caveats

  • English and Chinese company names are both registered and must both be checked; a company may have only one of the two.
  • The UBI replaced the 7-digit CR number on 27 December 2023; documents and third-party datasets still carry both.
  • Shareholders appear only in the annual return, which may be up to a year old; the Significant Controllers Register is not public.
  • Private companies do not file accounts; financial information is available only for listed issuers and some licensed entities.
  • Many Hong Kong-listed issuers are incorporated in the Cayman Islands or Bermuda, so the listed entity is not on the Hong Kong companies register.

Questions

Can I see the directors and shareholders of a Hong Kong company?

Yes, for a fee. Company particulars list current directors and the secretary; the most recent annual return image lists shareholders as at the return date. Both are bought through the Companies Registry e-Services Portal.

Is the Significant Controllers Register public?

No. It is kept by the company itself and may be inspected only by law enforcement and specified persons. The public record shows only that a designated representative has been appointed.

Are Hong Kong company accounts public?

Private companies do not file financial statements with the Companies Registry. Accounts are public for listed issuers (via HKEXnews) and for companies that file them with a prospectus or similar document.

Which sanctions apply in Hong Kong?

Only UN Security Council sanctions are implemented in Hong Kong law. OpenDossier screens UN designations and separately reports hits on US, EU and UK lists, which have no legal effect in Hong Kong but matter to counterparties elsewhere.
